IN NO EVENT SHALL CHOPT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CHOPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
The limitations of liability set out above are fundamental elements of the basis of the bargain between Chopt and you. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages. In such states, some of the above limitations may not apply to you, and our liability shall be limited to the greatest extent permitted by applicable law.
10. Indemnification

12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or related to these Terms or the Site informally by contacting us at [email protected]. We will make a good-faith effort to resolve your concern within thirty (30) days of receiving written notice of the dispute.
12.2 Binding Arbitration
If we are unable to resolve a dispute informally, you and Chopt agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site or services, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, except as modified by these Terms.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.
